Standard Chartered PLC has announced a significant move to enhance its capital structure by commencing a share buyback program. Moreover, The initiative targets the repurchase of ordinary shares with a par value of US$0.50 each, with a maximum aggregate amount set at US$1 billion.

Facilitating this buyback endeavor, the Group has entered into a non-discretionary agreement with J.P. Morgan Securities plc. This agreement empowers JPMS plc to act as a principal, undertaking the purchase of Ordinary Shares on behalf of Standard Chartered PLC. Moreover, the buyback period spans from 27 February 2024 to 23 August 2024.

JPMS plc has the authority to acquire Ordinary Shares, with an aggregate purchase price not exceeding US$1 billion, as stipulated in the agreement. Furthermore, Following the purchase, JPMS plc retains the option to on-sell these acquired Ordinary Shares back to the Group. 

Enhancing Equity: Standard Chartered Strategic Share Buyback Program Initiates

The overarching goal of this buyback initiative is a reduction in the Group’s outstanding ordinary shares. Crucially, the agreement imposes a cap on the maximum number of Ordinary Shares that Standard Chartered PLC can repurchase, setting the limit at 250,000,000 Ordinary Shares. This limitation strategically aims to influence and optimize the equity structure of the Group.

An essential aspect of the arrangement is the autonomy granted to JPMS plc in making trading decisions related to the Ordinary Shares. Moreover, This emphasizes transparency in the process and ensures that the decisions align with the best interests of both Standard Chartered PLC and its shareholders.
