Euronext acquires Admincontrol through a definitive agreement with Visma, strengthening its governance and collaboration SaaS offerings. This strategic move expands Euronext’s presence in the Nordics and the UK. The transaction, valued at NOK 4,650 million (€398 million), will be paid in cash and is expected to be completed by the second quarter of 2025, pending regulatory approvals. 

Established in 2005 and headquartered in Oslo, Admincontrol delivers mission-critical board management and transaction management software, supporting effective decision-making processes for over 4,000 clients and 200,000 users. Over the past five years, the company has achieved double-digit annual growth, generating NOK 452 million (€39 million) in revenue and NOK 200 million (€17 million) in EBITDA in 2024. 

Admincontrol’s extensive product offerings align closely with Euronext Corporate Solutions’ business, creating significant opportunities for new client acquisition and cross-selling. Moreover, the company’s strong foothold in the Nordics further strengthens Euronext’s presence in the region, complementing its previous acquisitions, including Euronext Oslo Børs, Nord Pool, Insiderlog, and Euronext Securities Copenhagen and Oslo.

Furthermore, Euronext Corporate Solutions, a wholly owned subsidiary of the Euronext Group, provides governance, compliance, and investor relations services. Since its launch in 2016, it has grown to support 5,000 clients across 30 countries with innovative SaaS solutions and advisory services. The subsidiary recorded €50 million in revenue in 2024, demonstrating consistent double-digit growth under its “Growth for Impact 2024” strategy. 

Commenting on the acquisition, Euronext CEO Stéphane Boujnah stated, “The acquisition of Admincontrol marks a significant step in achieving Euronext’s ‘Innovate for Growth 2027’ vision to expand our SaaS business. This deal enhances our subscription-based revenue and positions Euronext Corporate Solutions as a leader in governance SaaS. With our extensive network and resources, we are excited to accelerate Admincontrol’s growth and strengthen our presence in the Nordics.” 

Visma CEO Merete Hverven expressed her satisfaction with the transition, saying, “Admincontrol has been a key player in our portfolio since 2017, showing remarkable performance. As we refine our business focus, I am pleased that the Admincontrol team will now benefit from Euronext Corporate Solutions’ specialized expertise.” 

Also, Admincontrol CEO Møyfrid Øygard acknowledged the transformation the company has undergone and welcomed the acquisition. “Visma has been an invaluable partner, but joining Euronext is a natural progression for our growth.
