Euronext acquires Admincontrol in a deal confirmed today, securing 100% of its shares for an enterprise value of NOK 4,650 million. This move aligns with Euronext’s capital allocation policy, as the company expects the return on capital employed to exceed the weighted average cost of capital between the third and fifth year following the closing.

Moreover, the acquisition marks a strategic step toward enhancing Euronext’s Software-as-a-Service (SaaS) portfolio and boosting its subscription-based revenue stream. Admincontrol will now operate under Euronext Corporate Solutions, significantly expanding the group’s footprint in the Nordics and the UK.

The integration not only more than doubles Euronext’s governance offering but also enhances its ability to deliver advanced solutions tailored to essential corporate workflows. As a result, the company aims to capture a greater market share within the governance SaaS sector. 

Euronext Acquires Admincontrol to Expand Governance Solutions

Admincontrol has demonstrated solid financial performance, with a consistent double-digit annual growth rate over the past five years. In 2024, it reported NOK 452 million in revenues and NOK 200 million in EBITDA, achieving a 44% EBITDA margin. Beginning in the second quarter of 2025, Admincontrol’s earnings will contribute to Euronext’s Corporate and Investor Solutions and Technology Services revenue lines. These segments already generated €170.8 million in revenue in 2024, and the addition of Admincontrol is expected to accelerate that growth. 

Speaking on the transaction, Euronext CEO Stéphane Boujnah stated, “The acquisition of Admincontrol positions Euronext Corporate Solutions as a leader in the governance SaaS space and expands our access to new clients in the Nordics, where we have already expanded our presence over the years with promising growth prospects.”

Meanwhile, Admincontrol CEO Møyfrid Øygard remarked, “Joining Euronext is a significant milestone in Admincontrol’s growth journey. Excellent governance is critical for the Euronext network of issuers and customers, and we are excited to bring our complementary product offering to market.” Through this acquisition, Euronext aims to strengthen its governance capabilities, leverage Admincontrol’s expertise, and foster deeper client engagement across Europe.
